Terms of Service

1. Agreement to Terms

By accessing or using euactguard.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and EU ACT Guard, operated by Dhanmeet Singh Nijhawan, Stuttgart, Germany ("we", "our", "us").

2. Description of Service

EU ACT Guard provides an automated compliance scanning platform that analyzes GitHub repositories, websites, and privacy policies to identify potential EU AI Act compliance gaps. The Service generates informational reports for compliance planning purposes.

The Service is not legal advice. Findings, scores, and recommendations generated by the Service are informational only. They do not constitute legal advice, legal opinion, or a legal assessment of compliance. You should consult qualified legal counsel before making compliance representations or decisions.

3. Eligibility

You may use the Service if:

  • You are at least 18 years old or the age of majority in your jurisdiction
  • You have the authority to enter these Terms on behalf of yourself or your organisation
  • You are not located in a country subject to EU sanctions or trade restrictions

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorised account access at security@euactguard.com
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or where we suspect fraudulent activity.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Scan repositories or websites you do not own or have permission to scan
  • Use the Service to generate false compliance representations
  • Attempt to reverse engineer, copy, or replicate our analysis methods
  • Use automated tools to scrape or systematically extract Service data
  • Circumvent scan limits or access controls
  • Upload or submit malicious code, content, or URLs
  • Impersonate another person or organisation
  • Use the Service in any way that violates applicable law, including GDPR

6. GitHub Repository Access

When you connect a GitHub repository, you represent and warrant that:

  • You own the repository or have explicit authorisation from the owner to submit it for scanning
  • You have the right to grant us read-only access
  • The repository does not contain data that you are not permitted to share with our service

We use GitHub OAuth with read-only scope. We never write to your repository. You can revoke access at any time through your GitHub settings.

7. Free Tier and Access Limits

The Service offers a free tier allowing one complete scan per account. Free tier results show a subset of findings. Full results require joining our waitlist and receiving access approval.

We reserve the right to modify access limits, features, or pricing at any time. We will provide reasonable notice of material changes.

8. Intellectual Property

Our IP

The Service, including its software, analysis algorithms, report templates, and content, is owned by EU ACT Guard and protected by applicable intellectual property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for your own compliance purposes.

Your IP

You retain all ownership of your repositories, websites, and policies. By submitting them for scanning, you grant us a limited licence to access and analyze them solely to provide the Service. We do not claim any ownership over your content.

Your reports

Compliance reports generated from your scans belong to you. You may use them internally, share them with advisors, and include them in legal documentation.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Scan results are complete, accurate, or legally sufficient
  • Using the Service will result in regulatory compliance
  • All EU AI Act violations in your systems will be detected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EU ACT GUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Regulatory fines or penalties imposed on you
  • Legal costs arising from compliance failures
  • Loss of business or reputation
  • Reliance on scan results that prove incomplete

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed €100 or the amount you paid us in the 12 months preceding the claim, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless EU ACT Guard from any claims, damages, or costs (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service in violation of applicable law
  • Content you submit to the Service
  • Your misrepresentation of authority to submit repositories or websites

12. Termination

Either party may terminate this agreement at any time.

You may delete your account at any time from the Settings page or by emailing privacy@euactguard.com.

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • We are required to by law
  • Your use poses a security risk to other users

On termination, we will delete your personal data in accordance with our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Stuttgart, Germany.

If you are a consumer in the EU, you also have the right to use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
